Right of Withdrawal

1. Scope

These General Terms and Conditions ("GTC") apply to all contracts between you ("Member", "you") and CHIRAYOU GmbH ("CHIRAYOU", "we", "us") regarding the use of our physician-led preventive health services, including our digital platform, doctor portal, telemedical consultations, and any optional purchase of compatible devices.

2. Parties and Nature of the Services (Medical Services)

(1) The contracting party is CHIRAYOU. Our services are intended for the purpose of prevention, health promotion, and evaluation of health-related biomarkers within the scope of medical consultation and under overall medical responsibility.

(2) CHIRAYOU invoices in its own name. The services are exempt from value-added tax under applicable law.

(3) Physicians engaged by CHIRAYOU act as CHIRAYOU’s agents (§ 278 BGB) and are free in their medical decision-making.

3. Time Periods

Whenever these Terms refer to months, quarters or years, we use the following fixed time periods for internal calculations:

– one month equals 30 days,
– one quarter equals 90 days,
– one year equals 360 days.

These definitions apply only to the calculation of subscription terms and renewals. Statutory time periods (e.g., withdrawal rights) remain unaffected.

4. Scope of Services

(1) CHIRAYOU offers a physician-led preventive health program that includes the regular collection, evaluation, and medical discussion of individual health data.

The frequency of health checks (e.g., quarterly or monthly) is determined by the subscription model selected at the time of contract conclusion and forms part of the main service.

(2) The services provided include, in particular:

a)Collection and analysis of defined health markers (e.g., laboratory and wearable data) for medical assessment,

b) Preparation of medical findings and individual preventive recommendations,

c) Telemedical one-on-one consultations (generally 30 minutes per session),

d) Use of the digital platform (app / web) for appointment management, data access, and communication with the medical team.

(3) The precise service scope, check frequency, and any additional options are defined during the ordering process and confirmed in the booking confirmation. Additional service descriptions on the website or within the portal form part of the contract.

(4) CHIRAYOU may adjust the scope of services as part of medical or technical improvements, provided the overall contractual value of the services is not adversely affected.

5. Medical Supervision and Quality

(1) CHIRAYOU performs its services under medical supervision. The medical lead is responsible for setting standards, quality assurance, and the approval of procedures and content.

(2) Only professionally qualified and licensed physicians with valid medical liability insurance are engaged. All medical decisions are made independently.

6. Telemedical Consultations

(1) Consultations are generally conducted via video call. You are responsible for ensuring a stable internet connection and an appropriate environment.

(2) The app/platform is used for data entry and display, appointment management, and communication; all medical findings, assessments, and recommendations are provided exclusively by the physician as part of the medical service.

7. Recordings and Documentation

(1) Consultations may only be recorded with your prior explicit consent. Without such consent, no recording will take place.

(2) Recordings are anonymized as soon as possible and used exclusively for quality assurance, documentation, and training purposes. The legal basis, storage duration, and recipients are described in our Privacy Policy.

8. Role of the App (Not a Medical Device)

(1) The app provides information and facilitates processes (e.g., appointment management). It does not provide diagnoses or treatment decisions.

(2) The medical service is provided by physicians outside the app. The app itself is not classified as a medical device under the MDR (Medical Device Regulation).

9. Eligibility and Cooperation

(1) You must be at least 18 years old and legally competent.

(2) You must provide accurate and complete information, follow medical advice, prepare adequately for appointments, and make relevant prior findings available.

(3) You must inform us immediately of any changes that are relevant to your consultation or safety (e.g., new symptoms, pregnancy, new medications).

10. Subscription, Term, and Termination

(1) The CHIRAYOU subscription may be entered into as either a 3-month or a 12-month plan. The respective term is determined by the option selected during the ordering process.

a) For the 3-month plan, the contract will automatically renew for an additional three months unless terminated with one month’s notice prior to the end of the current term.

b) For the 12-month plan, the contract will automatically renew for an additional twelve months unless terminated with one month’s notice prior to the end of the current term.

(2) The right to terminate for good cause remains unaffected.

(3) Terminations must be made in text form (e.g., by email to support@chirayou.com).
The deadline is met if the termination notice is sent before the end of the notice period.

11. Appointments, Rescheduling, and No-Shows

(1) Appointments may be rescheduled free of charge up to 24 hours before the scheduled time.

(2) In the event of late cancellations or no-shows, CHIRAYOU may charge a flat cancellation fee in accordance with the current price list; you may provide evidence that a lesser loss has occurred.

12. Liability

(1) Medical Liability: CHIRAYOU, as the service provider, is liable in accordance with applicable law for damages caused intentionally or negligently during the performance of medical services; the fault of engaged physicians is attributed to CHIRAYOU (§ 278 BGB).

(2) Platform/Ancillary Services: We are not liable for minor negligence regarding non-essential contractual obligations. For minor negligence affecting material obligations, our liability is limited to the foreseeable, typical damage. Mandatory liability (e.g., for injury to life, body, or health) remains unaffected.

(3) Emergency Services: CHIRAYOU does not provide emergency medical care. In case of an emergency, please contact emergency services immediately.

13. Device Purchase (Separate Agreement)

In addition to the subscription, members may purchase compatible devices or test kits through CHIRAYOU. The following conditions apply.

(1) Title remains with CHIRAYOU until full payment has been received. Risk passes upon delivery.

(2) Warranty is governed by statutory law; additional manufacturer conditions may apply.

(3) Device purchases are also subject to the applicable product and shipping terms presented at the time of purchase.

14. Right of Withdrawal

(1) Consumers have a 14-day right of withdrawal starting from the date of contract conclusion (for subscriptions) or receipt of goods (for device purchases).

(2) If you request that the subscription begins within the withdrawal period, you are required to pay reasonable compensation for the services already rendered (§ 357(8) BGB).

(3) Details, contact information, and the sample withdrawal form are provided in the following withdrawal instructions, which form part of these GTC.

15. Data Protection and Confidentiality

(1) We process personal data – including health data – in accordance with the GDPR and our Privacy Policy. The policy outlines purposes, legal bases, recipients, storage periods, and your data subject rights.

(2) Medical Confidentiality:
Physicians are bound by § 203 StGB. Data may be shared with CHIRAYOU only to the extent necessary for contract performance and based on your consent or statutory authorization. Recordings and documentation follow the process outlined in section 6.

16. Intellectual Property and Usage Rights

(1) All content within the app, portals, and documentation is protected by copyright. You receive a simple, non-transferable right of use limited to contractual purposes.

(2) Anonymized or aggregated data may be used for quality management, research, and product improvement.

17. Service Availability

(1) We strive to ensure high service availability. Maintenance, updates, or technical issues may temporarily limit access.

(2) There is no entitlement to uninterrupted access to the digital platform.

18. Changes to the GTC and Services

(1) We may amend these GTC if there are valid reasons (e.g., legal changes, service enhancements), provided your legitimate interests are not unreasonably affected.

(2) You will be notified in advance of any changes. If you do not object within six weeks of notification, the changes will be deemed accepted. We will expressly inform you of this consequence.

19. Final Provisions

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection laws of your country of residence remain unaffected.

(2) The place of jurisdiction, to the extent permitted by law, is the registered office of CHIRAYOU.

(3) Should any provision be or become invalid, the validity of the remaining provisions shall remain unaffected.

Your Right of Withdrawal

You have the right to withdraw from this contract within fourteen (14) days without giving any reason.

The withdrawal period is:
– for services (subscriptions): fourteen days from the date of contract conclusion,
– for goods (device purchase): fourteen days from the date you or a third party designated by you (who is not the carrier) take possession of the goods.

To exercise your right of withdrawal, you must inform us (CHIRAYOU GmbH, Hauptstraße 457, 53639 Königswinter, Germany, email: support@chirayou.com) of your decision to withdraw from the contract by means of a clear statement (e.g., email). You may use the attached sample withdrawal form, but this is not mandatory.

Consequences of Withdrawal

If you withdraw from this contract, we will refund all payments we have received from you, including delivery costs (for goods), without undue delay and at the latest within fourteen (14) days from the day on which we receive notice of your withdrawal.

Refunds will be made using the same payment method you used for the original transaction, unless otherwise expressly agreed; no fees will be charged for such refunds.

If you requested that the services commence during the withdrawal period, you must pay us an amount corresponding to the proportion of the services already provided up to the time you notified us of your withdrawal, relative to the total scope of the contract.
